Please answer only ONE from the following two questions stated below.
Question 1
The prominence of ownership diffusion in listed companies in liberal market economies primarily reflects the high degree of legal protection for minority shareholders in these systems of corporate governance (LaPorta et al., 2000). Critically discuss this statement.
Question 2
The 2008-09 financial crisis in the UK/USA has often been portrayed as a crisis of the banking sector. Identify and explain aspects of the banking systems of these two countries that contributed to the financial crisis.
The coursework will be composed of two questions for which you will have to answer one. The first question deals with corporate governance. The most important difference across different national systems of corporate governance is the ownership structure of listed companies. In the UK and the USA, for instance, ownership is relatively diffused. That is, the biggest shareholder owns, on average, a small percentage of the voting rights of the company. Typically less than 5 percent. In the bulk of other countries, in contrast, the biggest shareholder of a listed company own a substantial portion of its voting rights. These differences, in turn, matter for the prominence of shareholder value versus stakeholder value as the guiding principle of the strategic direction of the company. Working on this question will enable you to assess the relative influence of different sets of explanations: legal protection of minority investors and institutional diversity across capitalist economies.
The second question deals with the role of banks in the financial crisis of 2008-09. The strategic choices of banks has often been presented as being a prominent factor for the depth of the 2008-09 financial crisis. Working on this question will enable you to investigate the changing role of activities of banks in the last thirty years. In particular, you will learn about the importance of leverage (borrowing) for banks, the origin-and-distribute model of loan allocation and the securitization process as features of the activities of banks that have increased financial instabilities.

The issues in management module is organised around the question of the operations modern capitalism and the implications for the governance of economies. The first three sessions of the module highlight the importance of diversity across capitalist economies. Countries, and companies embedded in these countries, are organised in diametrically different fashions. Diversity in modern capitalism impact on the process by which companies compete globally. The processes by which companies have dealt with these two new developments has led to the emergence of new models of firm organisation and of the reconfiguration in inequalities in modern capitalism. The next five sessions highlight the importance of inherent instabilities in modern capitalism as a result of the role of financial markets. Looking at a series of financial crises, the module investigated the different mechanisms that have increased instabilities in modern economies. The last two sessions cover two contrasting concepts – social embeddedness and transaction costs – that allow us to explore the behaviour and organisational form of modern firms
